Vendor/Seller Subscription Terms

These Seller Subscription Terms (“Terms”) govern subscription plans offered to sellers (“Seller,” “you,” or “your”) on [Marketplace Name] (“Marketplace,” “Company,” “we,” “us,” or “our”).

These Terms form part of the Seller Agreement and Marketplace Terms of Service. By purchasing or renewing a Seller Subscription, you agree to be bound by these Terms.

1. Seller Subscription Plans

We offer subscription-based plans that provide sellers with access to certain benefits, which may include but are not limited to:

• Ability to list products or services
• Enhanced listing visibility
• Promotional tools
• Analytics and reporting
• Reduced commission rates (if applicable)
• Access to premium features or integrations

Subscription features and pricing are described at the time of purchase. We reserve the right to modify available plans at any time.

2. Eligibility

To maintain an active Seller Subscription, you must:

• Have an approved seller account in good standing
• Comply with the Seller Agreement and Marketplace policies
• Provide accurate billing information
• Maintain a valid payment method

We reserve the right to deny, suspend, or terminate subscriptions at our discretion if eligibility requirements are not met.

3. Billing and Payment

3.1 Recurring Charges

Seller Subscriptions are billed on a recurring basis (e.g., monthly or annually) depending on the plan selected.

By purchasing a subscription, you authorize us to charge your designated payment method automatically at each renewal period.

3.2 Payment Method

You are responsible for maintaining accurate and current billing information. Failure to do so may result in suspension of your seller privileges.

3.3 Failed Payments

If payment fails:

• Your listings may be paused or hidden.
• Seller tools may be disabled.
• Your account may be suspended until payment is received.

4. Auto-Renewal

All Seller Subscriptions automatically renew at the end of each billing cycle unless canceled prior to the renewal date.

The renewal fee will be charged at the then-current rate unless otherwise stated.

You are responsible for canceling your subscription before the renewal date if you do not wish to continue.

5. Cancellation

5.1 Seller-Initiated Cancellation

You may cancel your subscription at any time through your seller dashboard or by contacting support at [Support Email].

Cancellation will take effect at the end of the current billing cycle unless otherwise required by law.

You will retain access to subscription features until the end of your paid term.

5.2 Marketplace-Initiated Cancellation

We may suspend or terminate your subscription if:

• Your account is suspended or terminated
• Payment cannot be processed

In such cases, refunds are not guaranteed and may be issued at our sole discretion unless required by law.

6. Refund Policy

• No prorated refunds will be issued for partial billing periods.
• No refunds will be issued for unused subscription time.
• Refunds will not be issued due to lack of sales or performance.

Exceptions may apply where required by applicable law.

7. Subscription Changes

• Add or remove features
• Introduce new subscription tiers
• Discontinue existing plans

If pricing changes, notice will be provided in advance where required by law. Changes will take effect at your next billing cycle.

8. Upgrades and Downgrades

We are not responsible for any loss of sales or visibility resulting from subscription termination.

10. No Guarantee of Sales or Performance

A Seller Subscription provides access to tools and features only. We do not guarantee:

• Sales volume
• Revenue levels
• Search ranking
• Buyer traffic
• Return on investment

Marketplace performance depends on many factors beyond our control.

11. Taxes

Subscription fees may be subject to applicable taxes (e.g., VAT, GST, sales tax). Sellers are responsible for all applicable taxes related to their subscription.

12. Limitation of Liability

To the maximum extent permitted by law, the Marketplace shall not be liable for:

• Lost profits
• Loss of business opportunity
• Data loss
• Indirect or consequential damages

arising from the use or inability to use subscription features.

13. Changes to These Terms

We may update these Seller Subscription Terms at any time. Updates will be posted on the Marketplace with a revised “Last Updated” date.

Continued use of the subscription after changes constitutes acceptance of the updated Terms.
