INTRODUCTION

Welcome to CaribMarketHub, an entity of Amalgamated Security Services Limited (ASSL) the premier online marketplace connecting buyers and independent sellers across the Caribbean (the “Platform”).

These Terms and Conditions (“Terms”) govern your access to and use of the Platform operated by CaribMarketHub ., a company incorporated under the laws of the Republic of Trinidad and Tobago (“CaribMarketHub”, “we”, “us”, or “our”).

By accessing, registering for, or using the Platform, you agree to be legally bound by these Terms. If you do not agree, you must discontinue use immediately.

We reserve the right to update or modify these Terms at any time. Continued use of the Site following the posting of changes constitutes acceptance of the revised Terms.

Definitions
For the purposes of these Terms:

• “Buyer” / “Customer” means any individual or entity purchasing goods through the Platform.
• “Seller” means any registered business or individual offering goods for sale through the Platform.
• “Business Days” means Monday to Friday, excluding public holidays in Trinidad and Tobago.
• “Dispatch” means the point at which an order leaves CARIBMARKETHUB’s control and is handed to a carrier.
• “Delivery” means delivery to the carrier or destination as specified in the applicable shipping method.
• “Defective” means a product that fails to perform as reasonably expected due to a manufacturing fault, excluding misuse or normal wear and tear.
• “Authorized Return” means a return approved in writing by CARIBMARKETHUB in accordance with its Returns Policy.
• “Refund” means a reimbursement issued to the original payment method, subject to applicable laws and payment network rules.

ELIGIBILITY & ELECTRONIC CONTRACTING

By using this Site, you confirm that:

• You are at least the legal age of majority in your jurisdiction;
• You have the legal capacity to enter into binding contracts.

In accordance with the Electronic Transactions Act, you agree that

• Contracts, confirmations, invoices, notices, and records may be provided electronically;
• Clicking “accept,” “checkout,” or similar actions constitutes a valid electronic signature;
• Electronic records satisfy legal requirements for written agreements.

ACCURACY OF INFORMATION & FAIR DEALING

CaribMarketHub complies with the Consumer Affairs Act, and Sale of Goods Act, which require that goods be of acceptable quality, fit for purpose, and as described.

We take reasonable care to ensure accuracy; however, errors may occur. If a material error affects your order, your remedies are limited to those provided by law and our Returns Policy.

USE OF THE SITE and ACCOUNT RESPONSIBILITIES

You agree to provide accurate, complete, and current information when creating an account or placing an order.  You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account. .  

CARIBMARKETHUB reserves the right, at its sole discretion, to:

• Restrict, suspend, or terminate your account;
• Refuse service;
• Modify or discontinue any portion of the Site at any time without notice.

CARIBMARKETHUB is not liable for content that you may find offensive, objectionable, or inaccurate.

SELLER TERMS

USER ACCOUNTS & RESPONSIBILITIES

2.1 Account Registration

Users must provide accurate, current, and complete information when registering.

Sellers must submit required verification documentation, including:

• Government-issued ID;
• Business registration documents (if applicable);
• VAT registration details (if applicable);
• Any other compliance documentation required by law.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Unauthorized use must be reported immediately.

2.2 Account Suspension or Termination

CaribMarketHub reserves the right, at its sole discretion, to:

• Suspend or terminate accounts;
• Restrict access to the Platform;
• Refuse service;

Where users violate these Terms, engage in fraudulent conduct, or misuse the Platform.

3. SELLER TERMS

3.1 Seller Verification & Tiers

Sellers must complete identity and compliance verification before listing products.

CaribMarketHub may:

• Request updated documents periodically
• Offer tiered seller plans with varying commission rates, listing limits, and features.

Approval as a Seller does not create an employment, partnership, or agency relationship.

3.2 Product Listings & Accuracy

Sellers must:

• Provide accurate descriptions and specifications;
• Upload clear, high-quality images;
• Offer fair and lawful pricing.

Prohibited listings include but are not limited to:

• Counterfeit goods;
• Hazardous or illegal materials;
• Stolen goods;
• Items violating intellectual property rights.

CaribMarketHub reserves the right to remove any listing that violates these Terms.

3.3 Orders, Fulfillment & Shipping

Sellers must:

• Process and dispatch orders within 1–3 Business Days unless otherwise stated;
• Provide tracking information;
• Clearly disclose shipping policies and estimated delivery times;
• Clearly disclose international shipping fees.

Delivery timelines are estimates only and are not guaranteed.

CaribMarketHub is not liable for shipping delays caused by third-party carriers.

Failure to consistently fulfill orders may result in penalties or suspension.

3.4 Returns, Refunds & Replacements

Each Seller must publish clear return and refund policies, including:

• Eligibility periods;
• Refund methods (store credit, bank transfer, original payment method);
• Conditions for returns.

Refunds are required for defective or incorrect items where replacement is not possible.

If a Seller fails to honor its return policy, CaribMarketHub reserves the right to:

• Intervene in disputes;
• Issue refunds on the Seller’s behalf;
• Deduct such amounts from Seller earnings.

Refunds and chargebacks are subject to applicable Visa, Mastercard, and payment network rules.

3.5 Earnings, Commission & Withdrawals

• Commission and transaction fees will be deducted before payout.
• Sellers may request withdrawals according to payout schedules.
• Minimum balance thresholds may apply.
• Withdrawal processing may take 5–7 Business Days.
• CaribMarketHub may withhold payouts during fraud investigations.

3.6 Seller Conduct & Compliance

Sellers must:

• Maintain professional and ethical standards;
• Avoid manipulation of ratings or reviews;
• Avoid misrepresentation or deceptive practices;
• Communicate professionally with customers;
• Not solicit transactions outside the Platform;
• Comply with privacy and data protection regulations.

Multiple accounts are permitted only for distinct legal businesses with valid justification.

CUSTOMER TERMS

PRODUCT INFORMATION & AVAILABILITY

We strive to display accurate product descriptions, images, and specifications. However:

• Product details may vary due to manufacturer updates;
• Images are for illustrative purposes only;
• Errors or omissions may occur.

If a product is materially different from its description, your sole remedy is return in unused condition, subject to our Returns Policy.

PROHIBITED USES

You agree not to:

• Violate or attempt to breach Site security E;

• Use automated tools to scrape, disrupt, or interfere with Site operations;
• Attempt unauthorized access to systems, data, or accounts;

Use the Site for unlawful or fraudulent purposes.

THIRD PARTY LINKS / SITES

The Site may contain links to third-party websites. These links do not constitute endorsement. CARIBMARKETHUB is not responsible for third-party content, policies, or practices. Use of third-party sites is at your own risk.

ORDERS, PAYMENT & BILLING

All orders are subject to acceptance and availability. CARIBMARKETHUB may cancel orders due to pricing errors, inventory issues, suspected fraud, or regulatory restrictions. Any accepted payment for a cancelled order will be refunded within a reasonable time, in accordance with applicable law.

Order Acceptance
All orders submitted through the Site constitute an offer by the customer to purchase products. An order is not deemed accepted until CARIBMARKETHUB issues an order dispatch confirmation or an explicit written acceptance notice. CARIBMARKETHUB reserves the right, at its sole discretion, to decline or cancel any order prior to acceptance, including but not limited to cases of pricing errors, inventory limitations, suspected fraud, or regulatory restrictions.

Payment terms:

• Credit Card Charged at checkout;
• Other payment methods: wallet

Payment Network Rules
Refunds, chargebacks, reversals, and payment disputes are processed in accordance with applicable card network rules, including those of Visa, and Mastercard. Where such rules mandate specific timelines, documentation, or remedies, those requirements shall prevail to the extent required by the applicable payment network.

PRICING  & TAXES

Prices may change without notice. Prices exclude:

• Import duties and foreign taxes;
• Customs, clearance, or brokerage fees unless expressly stated.

CARIBMARKETHUB is not responsible for charges imposed by foreign authorities.

 PROMOTIONAL CODES / OFFERS / LOYALTY POINTS

Promotional offers:

• Are subject to availability
• Are non-transferable and non-redeemable for cash;
• May expire or be withdrawn without notice;
• Are void where prohibited by law.

CARIBMARKETHUB reserves the right to cancel promotions at any time.

SHIPPING & INTERNATIONAL DELIVERY

Delivery of CARIBMARKETHUB products not manufactured in the United States is available by Air Freight only.
Products manufactured within the United States are also shipped via Air Freight by default; however, Ocean Freight can be arranged upon request. Please submit a quotation request if Ocean Freight is required.

CARIBMARKETHUB ships internationally using Air Freight by default. Ocean Freight may be arranged upon request.

Delivery times are estimates only and not guaranteed.

Risk & Title
Risk generally transfers to the customer upon delivery to the carrier, except where loss or damage occurs prior to dispatch, in accordance with Trinidad and Tobago law.

Cancellations & Returns

Cancellations are permitted only before shipment. Orders cancelled prior to shipment may incur a transaction fee.

Returns, refunds, and replacements are governed by CARIBMARKETHUB’s Cancellations, Returns & Refunds Policy, which operates alongside statutory consumer rights.

Customer Responsibilities for International Orders

You acknowledge and agree that:

• You are responsible for understanding your country’s import laws;
• You may require licenses, permits, or certifications;
• Customs duties, taxes, warehouse fees, and clearance costs are your responsibility;
• CARIBMARKETHUB is not liable for seized or rejected shipments.

Restricted Products & COMPLIANCE

Certain products offered for sale are subject to licensing, permit, or other regulatory authorization requirements. These products may not be purchased, shipped, or delivered unless the purchaser provides valid and current licenses, permits, or authorizations as required by applicable laws and regulations.

You agree to comply with all applicable:

• Export control laws;
• Customs regulations;
• Trade sanctions.

CARIBMARKETHUB reserves the right to delay or cancel orders for non-compliance.

By placing an order for a restricted product, the purchaser acknowledges and agrees that they must submit all required documentation for verification prior to shipment. The Company reserves the right to delay, suspend, or cancel any order if the required documentation is not provided, is incomplete, or cannot be successfully validated. Any costs incurred as a result of non-compliance may be the responsibility of the purchaser.

COLORS & DISPLAY DISCLAIMER

Product colors displayed on the Site may vary depending on device settings. CARIBMARKETHUB does not guarantee exact color accuracy PRIVACY

Personal information is handled in accordance with our Privacy Policy, which forms part of these Terms.

CARIBMARKETHUB may share information with service providers for:

• Payment processing;
• Fraud prevention;
• Order fulfillment.

ROLE OF CARIBMARKETHUB

CaribMarketHub operates solely as a technology platform facilitating transactions between independent Buyers and Sellers.

CaribMarketHub:

• Is not the seller of listed goods
• Does not take title to goods
• Does not manufacture or inspect goods
• Is not a party to the sales contract between Buyer and Seller

Limited Payment Collection Agent

Notwithstanding the foregoing, CaribMarketHub acts as the Seller’s limited payment collection agent solely for the purpose of:

• Receiving payment from Buyers
• Processing refunds where required
• Deducting commissions and fees
• Managing chargebacks and fraud controls

Payment by a Buyer to CaribMarketHub constitutes payment to the Seller.

This limited agency does not create any partnership, employment, or joint venture relationship.

CARIBBEAN REGIONAL COMPLIANCE (CARICOM TRADE CONSIDERATIONS)

CARICOM Trade Framework

CaribMarketHub operates within the Caribbean region and supports cross-border trade among Member States of the Caribbean Community (CARICOM). Users acknowledge that transactions conducted through the Platform may be subject to:

• CARICOM Single Market and Economy (CSME) provisions;
• Common External Tariff (CET) regulations;
• Applicable customs laws of individual Member States;
• Regional trade facilitation agreements.

Nothing in these Terms shall be interpreted as overriding or limiting any mandatory trade regulations imposed by CARICOM Member States.

Cross-Border Sales Within CARICOM

Where goods are sold across CARICOM Member States:

• Customs duties may be reduced or exempted for qualifying goods under CARICOM rules of origin;
• Documentation may be required to confirm origin status;
• Importing country VAT, customs service charges, environmental levies, port fees, or other statutory charges may still apply.

Buyers are solely responsible for:

• Understanding import requirements in their jurisdiction;
• Paying applicable duties, taxes, and fees;
• Obtaining any required licenses or permits.

CaribMarketHub does not guarantee eligibility for duty-free treatment under CARICOM arrangements.

Rules of Origin & Documentation

Sellers offering goods as “CARICOM-origin” products must:

• Ensure compliance with CARICOM Rules of Origin;
• Maintain supporting documentation, including certificates of origin where required;
• Provide accurate declarations.

Misrepresentation of origin status constitutes a material breach of these Terms and may result in account suspension, removal of listings, financial penalties, or legal action.

CaribMarketHub reserves the right to request supporting documentation to verify compliance.

Export Controls & Restricted Goods

Users must comply with:

• National export control regulations;
• Regional sanctions;
• Customs and border security regulations;
• Any product-specific restrictions within CARICOM Member States.

Certain products may require:

• Import/export licenses;
• Health, agricultural, or environmental approvals;
• Standards certification.

CaribMarketHub reserves the right to delay, cancel, or refuse transactions that may violate regional trade laws.

Regulatory Variations Between Member States

Users acknowledge that:

• Consumer protection laws vary between CARICOM countries;
• Warranty standards and return rights may differ;
• Certain goods may be prohibited or restricted in specific jurisdictions.

CaribMarketHub is not responsible for regulatory incompatibility between jurisdictions.

Taxation & Fiscal Obligations

Sellers are responsible for:

• Registering for VAT or equivalent taxes where required;
• Charging and remitting taxes in accordance with applicable laws;
• Maintaining accurate tax records.

CaribMarketHub may collect and remit certain taxes where required by law but does not provide tax advisory services.

Trade Disruptions

CaribMarketHub shall not be liable for delays, cancellations, or losses arising from:

• Customs inspections;
• Regulatory changes;
• Border closures;
• Trade policy amendments;
• Regional emergency measures.

Regional Compliance Cooperation

CaribMarketHub may:

• Cooperate with customs authorities;
• Provide transaction data where required by law;
• Suspend accounts pending regulatory investigations.

INTELLECTUAL PROPERTY

All copyrights, trademarks, trade dress, other intellectual property and materials, including page headers, images, text, illustrations, formats, logos, designs, icons, photographs, programs, music clips or downloads, video clips and written and other materials (collectively, the “IP”) are owned, controlled or licensed by CARIBMARKETHUB, or any of its affiliates or by third parties who have given permission to use their materials to CARIBMARKETHUB. You may access, view, download, and print the IP and all other materials displayed on the CARIBMARKETHUB for your personal, non-commercial use only; provided, however, that you (1) retain all copyright, trademark or other proprietary designations contained on all IP; (2) do not modify or alter the IP in any way; and (3) do not provide or make available the IP to any third party in a commercial manner.  No license, right, title, or interest in any materials or software is transferred to you as a result of your use of the CARIBMARKETHUB or your accessing, viewing, downloading, or printing of the IP.  You may not reproduce (except as noted above), publish, transmit, distribute, display, modify, create derivative works from, sell or participate in any sale of or exploit in any way, in whole or in part, any of the IP, the CARIBMARKETHUB. The IP and software on the CARIBMARKETHUB may be used only as a shopping resource.  Any other use, including the reproduction, modification, distribution, transmission, republication, display, or performance, of the IP on this Site is strictly prohibited. 

CARIBMARKETHUB names and logos, and all other graphics, logos, page headers, button icons, scripts, and service names included in or made available through any of the CARIBMARKETHUB. All other marks are the property of their respective companies.

Force Majeure

CARIBMARKETHUB shall not be liable for failure or delay in performance caused by events beyond its reasonable control, including but not limited to:

• Acts of God;
• Natural disasters;
• War, terrorism, or civil unrest;
• Government actions, embargoes, or regulatory delays;
• Labor disputes, carrier disruptions, or supply chain failures.

Performance will resume once the force majeure event ceases.

INDEMNIFICATION

You agree to indemnify and hold harmless CARIBMARKETHUB, its affiliates, officers, employees, and agents from any claims, damages, or expenses arising from:

• Your use of the Site;
• Violation of these Terms;

Violation of applicable laws.

LIMITATION OF LIABILITY

UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL OR EQUITABLE THEORY, WHETHER IN TORT, CONTRACT, STRICT LIABILITY OR OTHERWISE, SHALL CARIBMARKETHUB OR ANY OF ITS AFFILIATES, EMPLOYEES, DIRECTORS, OFFICERS, AGENTS, VENDORS OR SUPPLIERS BE LIABLE TO YOU OR TO ANY OTHER PERSON FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL LOSSES OR DAMAGES OF ANY NATURE ARISING OUT OF OR IN CONNECTION WITH THE USE OF OR INABILITY TO USE THE CARIBMARKETHUB SITE, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, LOSS OF GOODWILL, LOSS OF DATA, WORK STOPPAGE, ACCURACY OF RESULTS, OR COMPUTER FAILURE OR MALFUNCTION, EVEN IF AN AUTHORIZED REPRESENTATIVE OF CARIBMARKETHUB HAS BEEN ADVISED OF OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES.  SUBJECT TO THE FOREGOING, IN NO EVENT WILL CARIBMARKETHUB BE LIABLE FOR ANY DAMAGES IN EXCESS OF THE FEES PAID BY YOU IN CONNECTION WITH YOUR USE OF THE CARIBMARKETHUB SITE DURING THE SIX MONTH PERIOD PRECEDING THE DATE ON WHICH THE CLAIM AROSE.

GOVERNING LAW & JURISDICTION

These Terms are governed by the laws of the Republic of Trinidad and Tobago.

Any dispute arising from or relating to these Terms shall:

• Be subject to the exclusive jurisdiction of the courts of Trinidad and Tobago, unless CARIBMARKETHUB elects to resolve the matter by arbitration.

Dispute Resolution & Arbitration

All disputes arising out of or relating to these Terms shall first be resolved through good-faith negotiation.

If unresolved within 30 days, disputes shall be referred to binding arbitration.

Arbitration shall:

• Be conducted under the Arbitration Act of Trinidad and Tobago
• Be seated in Port of Spain, Trinidad
• Be conducted in English
• Be decided by a single arbitrator
• Follow UNCITRAL Arbitration Rules (unless otherwise agreed)

The arbitrator’s decision shall be final and binding.

Each party shall bear its own legal costs unless otherwise awarded.

Nothing prevents CaribMarketHub from seeking injunctive relief in court for IP or fraud matters

Class Action Waiver

All claims must be brought individually.

Users waive the right to:

• Participate in class actions
• Join representative proceedings
• Act as private attorney general

Arbitration shall occur on an individual basis onlyData Protection & Cross-Border Transfers

CaribMarketHub acts as:

• A Data Controller for user account data
• A Data Processor when processing Seller transaction data

Data may be transferred outside Trinidad and Tobago, including to:

• Payment processors
• Cloud hosting providers
• Fraud monitoring services

Where applicable, transfers shall be subject to:

• Standard contractual safeguards
• Applicable data protection laws
• GDPR compliance (where EU residents are involved)

Data breach notification will occur within 72 hours where required by law.

Sellers agree to comply with all data protection laws applicable in their jurisdiction.

Anti-Money Laundering & Sanctions Compliance

CaribMarketHub complies with applicable Anti-Money Laundering (AML) and Counter-Terrorist Financing (CTF) laws.

We reserve the right to:

• Conduct identity verification (KYC)
• Screen against sanctions lists, including OFAC
• Monitor transactions for suspicious activity
• Report suspicious transactions to relevant authorities
• Freeze or suspend accounts pending investigation

Users represent that they are not:

• Listed on sanctions registers
• Politically Exposed Persons (PEPs) without disclosure
• Engaged in prohibited financial activity

Failure to pass compliance checks may result in immediate termination.

Survival

The following provisions survive termination:

• Intellectual Property
• Indemnification
• Limitation of Liability
• Payment Obligations
• Dispute Resolution
• Governing Law
• Data Protection
• AML Compliance

Platform Moderation & Algorithmic Control

CaribMarketHub reserves the right to:

• Rank, reorder, promote, demote, or suppress listings
• Use automated decision-making systems
• Deploy AI-based moderation tools
• Conduct automated fraud detection
• Temporarily throttle accounts
• Remove content violating policies

Algorithmic adjustments do not constitute discrimination or interference with business opportunity.

Cybersecurity & System Availability

While CaribMarketHub implements reasonable security measures, the Platform is provided on an “as available” basis.

CaribMarketHub shall not be liable for:

• Temporary outages
• Cyberattacks
• Data corruption
• Service interruptions
• Third-party infrastructure failures

Liability for system downtime shall not exceed fees paid in the preceding six (6) months.

Users are responsible for maintaining secure devices and networks

Complaints & Escalation Framework

Stage 1 – Customer Support Review (5 Business Days)
Stage 2 – Internal Compliance Review (10 Business Days)
Stage 3 – Mediation (optional, 14 days)
Stage 4 – Arbitration (if required)

Where mandated by law, users may pursue remedies through:

• Consumer Affairs Division (Trinidad & Tobago)
• Financial regulatory authorities
• Applicable ombudsman services

Electronic Notices

You consent to receive all notices, disclosures, and communications electronically via:

• Email;
• Website postings;
• Account notifications.

Electronic notice is deemed received when sent or posted.

GENERAL PROVISIONS

If any provision is held unenforceable, the remaining provisions remain in full force. Failure to enforce any right does not constitute a waiver.

These Terms constitute the entire agreement between you and CaribMarketHub.

Accessibility & Interpretation
These Terms are intended to be written in plain English and to be reasonably accessible to non-technical readers. Where ambiguity arises, the Terms shall be interpreted in a manner consistent with reasonable consumer understanding, subject always to applicable law.

GENERAL

This Agreement represents the complete agreement between the parties and supersedes all prior agreements and representations between them.  Headings used in this Agreement are for reference purposes only and in no way define or limit the scope of the section.  If any provision of this Agreement is held to be unenforceable for any reason, such provision shall be reformed only to the extent necessary to make it enforceable and the other terms of this Agreement shall remain in full force and effect.  The failure of CARIBMARKETHUB to act with respect to a breach of this Agreement by you or others does not constitute a waiver and shall not limit CARIBMARKETHUB’s rights with respect to such breach or any subsequent breaches.

THIS SITE IS PROVIDED BY CARIBMARKETHUB ON AN “AS IS” AND “AS AVAILABLE” BASIS.  CARIBMARKETHUB MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE CARIBMARKETHUB OR THE INFORMATION, CONTENT, MATERIALS, OR PRODUCTS INCLUDED ON THE SITE.  TO THE FULL EXTENT PERMISSIBLE BY APPLICABLE LAW, CARIBMARKETHUB DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.  WITHOUT LIMITING THE FOREGOING, CARIBMARKETHUB DISCLAIMS ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, FOR ANY MERCHANDISE OFFERED ON THE CARIBMARKETHUB.

YOU ACKNOWLEDGE, BY YOUR USE OF THE CARIBMARKETHUB, THAT YOUR USE OF THE CARIBMARKETHUB SITE IS AT YOUR SOLE RISK.  THIS DISCLAIMER DOES NOT APPLY TO ANY PRODUCT WARRANTY OFFERED BY THE MANUFACTURER OF THE ITEM.  THIS DISCLAIMER CONSTITUTES AN ESSENTIAL PART OF THIS AGREEMENT.
