1. Introduction

This Seller Policy (“Agreement”) constitutes a legally binding agreement between CaribMarketHub an entity of Amalgamated Security Services Limited (ASSL). (“CaribMarketHub,” “we,” “us,” or “our”) and the approved seller (“Seller,” “you,” or “your”).

By registering as a Seller, listing products, or conducting transactions on the CaribMarketHub platform, you acknowledge that you have read, understood, and agree to be legally bound by:

  • This Seller Policy
  • The Terms and Conditions
  • The Privacy Policy
  • Any additional marketplace rules or updates

Failure to comply may result in suspension, withholding of funds, or termination of your Seller account.

This Agreement governs all transactions conducted through the Platform.

CaribMarketHub an entity of ASSL. (“CaribMarketHub,” “Company,” “we,” “us,” or “our”) operates the online marketplace platform located at 12 Garden Road, El Socorro, San Juan, 208711 .

Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Republic of Trinidad and Tobago (or chosen jurisdiction).

Jurisdiction
The courts of Trinidad and Tobago shall have exclusive jurisdiction over all disputes unless otherwise resolved through arbitration as provided herein.

  • DEFINITIONS

For purposes of this Seller Policy:

  • “Marketplace” / “Platform” means the CaribMarketHub digital commerce platform.
  • “Seller” means any individual or legal entity approved to list products for sale.
  • “Business Day” means any day excluding weekends and public holidays in Trinidad and Tobago.
  • “Commission” means the percentage fee deducted from gross transaction value.
  • “Net Proceeds” means gross order value minus commissions, fees, refunds, chargebacks, reserves, and penalties.
  • “Chargeback” means a reversal initiated by a cardholder or issuing bank.
  • “Withheld Funds” means funds temporarily retained due to risk review, disputes, or reserve requirements.
  • “Dispute” means any claim, refund request, chargeback, or complaint related to a transaction.
  • “Intellectual Property” means trademarks, copyrights, patents, trade names, logos, and related rights.
  • “Fraud” means deceptive conduct intended to result in financial gain or avoidance of obligations.
  • RELATIONSHIP OF THE PARTIES

Sellers are independent contractors.

Nothing in this Agreement creates:

  • Agency
  • Partnership
  • Joint venture
  • Employment relationship
  • Franchise
  • Fiduciary relationship

Sellers have no authority to bind CaribMarketHub legally or financially.

Seller is solely responsible for its products, operations, taxes, employees, and legal compliance.

  • PLATFORM RIGHTS AND LISTING CONTROL

CaribMarketHub reserves the right to:

  • Edit listings for formatting, categorization, or compliance
  • Correct spelling, layout, or image formatting
  • Suppress, demote, or remove listings
  • Reorder search rankings algorithmically
  • Apply visibility penalties
  • Restrict categories
  • Remove misleading claims

Such actions do not constitute interference with business relations

  • CHARGEBACKS & PAYMENT REVERSALS

Chargeback Liability
The Seller bears full financial responsibility for all chargebacks relating to their transactions.

Fees
Each chargeback may incur:

  • Chargeback administration fee (TTD $5.00])
  • Payment processor penalties
  • Investigation costs

These will be automatically deducted.

Response Timeline
Seller must submit required documentation within 3 Business Days of notice.

Failure to respond results in automatic loss.

Automatic Debit Authorization
Seller authorizes CaribMarketHub to debit any account balance or future payouts to recover chargeback losses.

  • RESERVES & ESCROW RIGHTS

CaribMarketHub may impose:

  • Rolling Reserves (e.g., 10%–25% for 60–180 days)
  • Risk-Based Reserves
  • Percentage Withholding
  • Full Transaction Holds

Trigger events include:

  • High dispute ratio
  • Fraud suspicion
  • New seller status
  • Regulatory risk
  • Seasonal risk spikes

Funds may be held for up to 180 days where necessary.

  • INTELLECTUAL PROPERTY POLICY

Takedown Procedure
IP owners may submit written complaints to: support@caribmarkethub.com

Notice must include:

  • Proof of ownership
  • Description of infringement
  • Direct listing URL

Counter-Notice
Seller may respond within 5 Business Days with evidence of rights.

Repeat Infringers
Accounts with 3+ substantiated violations may be permanently terminated.

Indemnity for IP Claims
Seller agrees to fully indemnify CaribMarketHub for any IP-related claims, damages, or legal costs.

  • Seller Registration and Verification

Account Creation

To become a seller, you must create an account using a valid email address and password.

 Documentation Requirements

Sellers are required to provide the following documents for verification:

  • Individuals:
    • Proof of ID (e.g., government-issued identification).
    • Proof of address (e.g., utility bill or bank statement).
  • Sole Traders & Companies:
    • Business Registration Certificate.
    • Articles of Incorporation.
    • VAT registration (if applicable).

 Approval Process

Once documents are verified, sellers will receive a notification of approval and can begin listing products.

 Ongoing Verification and Compliance

  • Sellers must ensure that all provided verification documents remain valid and up to date.
  • The marketplace reserves the right to request updated documentation periodically to maintain compliance.
  • Failure to provide updated documents when requested may result in temporary suspension or account termination.
  1. Product Listings and Quality Control

Product Listing Guidelines

  • Product descriptions must be clear, detailed, and truthful.
  • Images should be high-quality and accurately represent the product.
  • Misleading product details are prohibited and may result in listing removal.

 Restricted and Prohibited Items

Certain items cannot be listed, including but not limited to:

  • Illegal or counterfeit products.
  • Hazardous materials and weapons.
  • Prescription drugs and controlled substances.
  • Any item that violates local laws or marketplace policies.

Fair Pricing Policy

  • Prices should reflect fair market value.
  • No excessive markups or misleading discounts.

 Product Claims and Guarantees

  • Any product claims must be verifiable.
  • If sellers offer “Money-Back Guarantees,” they must honor them fully.
  1. Order Fulfillment and Shipping

Order Processing

  • Sellers must process and ship orders within 1-3 business days.
  • Failure to meet order fulfillment deadlines may result in penalties.
  • Repeated shipping delays or failures may result in:
    • Progressive warnings issued by the marketplace.
    • Temporary suspension of seller privileges.
    • Financial penalties or additional fees for non-compliance.
    • Permanent removal from the marketplace for consistent failure to fulfill orders.

 Shipping Responsibility

  • Sellers must clearly communicate shipping policies, costs, and estimated delivery times.
  • Sellers are responsible for any lost or damaged items during shipping.
  • Sellers must provide tracking information for all shipments and proactively update customers on delivery status.
  • Sellers are responsible for handling customer inquiries regarding delivery delays, missing shipments, and logistics-related issues.

International Shipping

  • Sellers must specify additional costs for international orders, such as customs fees.
  • Neither the marketplace nor the seller is responsible for products held at customs.
  1. Returns, Replacements, and Refunds

Return Policy

  • Sellers must outline their return policies, including timeframes and refund options.
  • Returns must be approved before being sent back.

Refund Policy

  • Refunds are only issued for defective or incorrect products if replacement is not possible.
  • Refunds are processed via store credit, bank transfer, or credit card reversal.

Dispute Resolution

  • The marketplace may mediate disputes between sellers and customers if needed.
  • If a seller fails to honor the return policy, the marketplace reserves the right to intervene and issue a refund on behalf of the seller, deducting the refund amount from the seller’s future payouts.
  • In cases of repeated failure to comply with return policies, the seller may face account penalties, including temporary suspension, loss of selling privileges, or permanent removal from the platform.
  • Sellers must maintain clear documentation of all return requests, communications with buyers, and refund transactions to resolve disputes effectively.
  • The marketplace’s decision in unresolved disputes will be final to maintain buyer trust and platform integrity.
  1. Earnings and Withdrawals

Withdrawal Process

  • Sellers can request withdrawals once per month or when earnings exceed a set threshold.
  • The minimum balance required for withdrawal is $300.00
  • Withdrawal requests must be submitted between the 1st and 7th of the month.
  • Withdrawals are typically processed within 5-7 business days, but delays may occur due to bank processing times, public holidays, or marketplace verification procedures.
  • If a withdrawal request is flagged for review, the seller will be notified, and additional verification may be required.
  • Sellers facing urgent financial needs may request an emergency withdrawal, subject to approval by the marketplace and possible additional processing fees.
  • Commission Structure

Commission is calculated as a percentage of the total order value (excluding taxes and shipping unless otherwise specified).

Commission Rates:

Standard Plan: 10% per transaction
Plus Plan: 8% per transaction
Premium Plan: 5% per transaction

CaribMarketHub reserves the right to adjust commission rates with 30 days’ notice.

  • Commission is deducted before payout of Net Proceeds.

  1. Tax Compliance
  • Sellers are responsible for their own tax filings and compliance.
  • Prices listed on the marketplace are exclusive of taxes unless stated otherwise.
  1. Seller Code of Conduct

Sellers must adhere to the highest standards of professionalism. Violations may result in penalties and, in severe cases, account termination.

Fair Business Practices

  • Sellers must provide accurate information.
  • No attempts to manipulate reviews or misrepresent products.
  • Sellers must not engage in activities that could damage the reputation of the marketplace, including but not limited to fraudulent transactions, false advertising, or misleading promotions.

Customer Communication

  • All customer communications must be professional and related to fulfilling orders.
  • Soliciting customers outside the marketplace is prohibited.
  • Harassment, abusive language, or coercion towards customers is strictly forbidden.

Data Privacy

  • Sellers must not misuse customer data.
  • All customer information must be used solely for order fulfillment.
  • Any unauthorized sharing or selling of customer data is a serious violation.

Marketplace Protection

  • Sellers must not engage in activities that cause financial loss to the marketplace, such as chargeback fraud, unauthorized refunds, or excessive dispute claims.
  • The marketplace reserves the right to withhold seller payouts if fraudulent activity is suspected until an investigation is complete.
  • Sellers are prohibited from directing customers to conduct transactions outside of the marketplace to avoid platform fees or policies.

Multiple Selling Accounts

  • Sellers can create multiple accounts only if they own separate businesses.
  • Duplicate accounts without valid business justification may be deactivated.
  • Accounts linked to fraudulent or deceptive practices may be permanently banned.
  • Sellers must adhere to the highest standards of professionalism. Violations may result in penalties.
  • Policy Violations and Account Termination**

Grounds for Account Suspension or Termination

  • Repeated policy violations.
  • Engaging in fraudulent activity.
  • Failing to fulfill orders or violating return policies.
  • Misuse of customer data or violating privacy regulations.
  • Attempts to manipulate the marketplace’s rating and review system.
  • Engaging in activities that cause financial loss to the marketplace.
  • Severe violations, including fraud, intellectual property infringement, or deceptive business practices, may result in legal action against the seller.

Penalties for Policy Violations

  • First Offense: Formal warning and mandatory corrective action.
  • Second Offense: Temporary suspension of account and possible fines.
  • Third Offense: Permanent account termination and potential legal action.
  • The marketplace reserves the right to withhold payouts if fraudulent activity is suspected.

Appeal Process

  • Sellers may appeal penalties by contacting marketplace support.
  • Appeals must be filed within 7 days of penalty notification.
  • The marketplace’s decision on appeals will be final to ensure platform integrity.
  1. Limitation of Liability and Marketplace Protection

No Guarantee of Sales
CaribMarketHub does not guarantee revenue, traffic, or financial performance.

Seller Responsibility
Seller is solely responsible for:

  • Product safety
  • Regulatory compliance
  • Tax obligations
  • Customer claims
  • Product liability
  • Intellectual property compliance

Third-Party Services
CaribMarketHub is not liable for acts or omissions of payment processors, logistics providers, or other third parties.

Limitation of Liability Cap
To the maximum extent permitted by law, CaribMarketHub’s total aggregate liability to Seller shall not exceed the total commissions paid by Seller to CaribMarketHub during the six (6) months preceding the event giving rise to the claim.

Exclusion of Damages
CaribMarketHub shall not be liable for:

  • Indirect damages
  • Consequential damages
  • Loss of profits
  • Loss of goodwill
  • Business interruption
  • Data loss

Indemnification
Seller agrees to indemnify and hold harmless CaribMarketHub, its directors, employees, and affiliates from any claims, losses, liabilities, damages, or legal costs arising from:

  • Seller products
  • Seller misconduct
  • Regulatory violations
  • IP infringement
  • Fraudulent activity

Force Majeure
CaribMarketHub shall not be liable for delays or failure caused by events beyond reasonable control.

SELLER INSURANCE REQUIREMENTS –Sellers must maintain:

  • Product Liability Insurance (minimum coverage TTD $[INSERT])
  • Professional Indemnity (if applicable)
  • Cyber Liability Insurance (if processing customer data)

Proof of insurance may be requested at any time.  Failure to provide may result in suspension.

  • SERVICE LEVEL & PERFORMANCE STANDARDS – CaribMarketHub may implement performance metrics including:
    • Order defect rate
    • Late shipment rate
    • Cancellation rate
    • Customer complaint ratio
    • Chargeback ratio

Failure to maintain standards may result in:

  • Visibility reduction
  • Fee adjustments
  • Suspension
  • Termination

Seller performance scores may be displayed publicly.

  1. DISPUTE RESOLUTION FRAMEWORK

Mandatory Mediation
Parties must first attempt mediation in good faith.

Binding Arbitration
If unresolved, disputes shall be resolved by binding arbitration under the Arbitration Act of Trinidad and Tobago.

Class Action Waiver
Seller agrees to resolve disputes individually and waives participation in class actions.

The following clauses survive termination:

  • Indemnification
  • Limitation of Liability
  • Chargebacks
  • Reserves
  • Dispute Resolution
  • Governing Law
  • Confidentiality
  • ASSIGNMENT

CaribMarketHub may assign this Agreement without notice.

Seller may not assign without written consent.

  • SEVERABILITY

If any provision is deemed invalid, remaining provisions remain enforceable.

  • Amendments to Policy

The marketplace reserves the right to update this policy at any time. Sellers will be notified of significant changes via email, platform notifications, or public announcements on the seller dashboard. Continued use of the platform after such changes take effect constitutes acceptance of the revised terms. Sellers are encouraged to review the policy periodically to stay informed of any updates. Escalations will be addressed within 10–15 business days, and the final decision made by the Compliance Department will be binding.

By registering as a Seller and continuing to use the Platform, you:

  • Confirm that all information provided is accurate
  • Agree to be legally bound by this Seller Policy
  • Consent to electronic communications
  • Acknowledge that this Agreement constitutes a legally enforceable contract

For corporate sellers, the individual registering represents and warrants that they have full authority to bind the business entity.

Digital acceptance through platform registration constitutes valid execution of this Agreement.
